Utkarsh is a seasoned debt lawyer with extensive experience in various banking and finance transactions. His expertise spans debt capital markets, project financing, offshore borrowings, overseas direct investments, offshore and onshore acquisition financing, real estate financing, consortium lending, syndication, receivables purchase transactions, restructuring, insolvency, and regulatory advisory.
He has provided counsel to numerous Indian and international banks, non-banking financial companies (NBFCs), financial institutions, credit funds, distressed asset funds, Indian and offshore borrowers and obligors.
Utkarsh has also represented various stakeholders in the insolvency resolution processes of companies under the Insolvency and Bankruptcy Code, 2016.
Before joining the Firm, Utkarsh was a Partner at JSA Advocates & Solicitors and has also worked with Shardul Amarchand Mangaldas & Co.
He holds a B.B.A., L.L.B. (Hons.) from National Law University, Jodhpur (NLUJ), graduating in 2009.

Advised one of the biggest Indian edtech startups in relation to prestigious Term Loan B financing availed by its US based subsidiary.
Advised one of the largest private equity firms globally in respect of its first ever investment in listed NCDs in India, issued by a leading Hyderabad based pharmacy retailer.
Advised a large investment management firm having global presence in respect of a listed NCD issuance, for acquisition financing.
Advised multiple banks in relation to a term loan facility extended to a prominent infrastructure investment trust for, inter-alia, financing the projects being constructed and developed by the Borrower's project SPVs.
Advised a leading foreign bank in relation to secured facilities extended by it to a leading provider of renewable energy solutions in India, wherein the Bank also acted as an arranger.
Advised multiple NBFCs in relation to term loan facilities being extended to a leading infrastructure investment trust for financing the debt of its present & future project SPVs.
Advised a leading Indian cement manufacturing company in respect of multiple NCD issuances and refinancing and consolidation of its overall debt portfolio prior to its IPO.
Advised a major private equity firm having global presence and its portfolio companies (both in India and offshore) in respect of a loan availed by an offshore portfolio company involving creation of security over shares and securities of an Indian company.
Advised a UAE based bank in respect of an overseas direct investment transaction involving refinancing of loans availed by a foreign subsidiary of an Indian company, guaranteed by Indian group entities.
Advised various portfolio companies of a leading Canada based investment management firm in relation to refinancing and consolidation of their overall debt portfolio and standardization of their loan documents.
Advised a leading Bank headquartered in France, in respect of its investment via its FPI entity in senior, unsecured, unlisted, redeemable, and rated NCDs issued by a leading Indian NBFC.
