The Ministry of Corporate Affairs (“MCA”) vide a notification number G.S.R. 409(E) dated June 15, 2021 (“Notification”), has omitted Rule 4 from the Companies (Meetings of Board and its Powers) Rules, 2014 (“Rules”). The erstwhile Rule 4 of the Rules restricted certain matters from being dealt with in any board meeting held through video conferencing or other audiovisual means. However, pursuant to this Notification, the board of directors are authorized to undertake the following actions in board meeting held through video conferencing or other audiovisual means:
