The Securities and Exchange Board of India (“SEBI”) has issued a circular on January 15, 2021 to extend relaxations provided to listed entities until December 31, 2021.
SEBI vide its circular dated May 12, 2020 (“May Circular”) had, inter alia, relaxed certain provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 related to general meetings, pursuant to relaxations by the Ministry of Corporate Affairs (“MCA”).
The MCA vide circulars dated December 31, 2020 and January 13, 2021 had extended relaxations to companies to conduct, through video conferencing or other audio-visual means, their extraordinary general meetings up to June 30, 2021 and annual general meetings up to December 31, 2021.
Accordingly, SEBI has, vide its circular dated January 15, 2021, extended the relaxations given to listed entities in respect of sending physical copies of annual reports to shareholders and requirement of proxy for general meetings held through electronic mode, till December 31, 2021.
